By accessing this website or engaging us for professional services, the user or client agrees to be bound by these Terms.
Specific project terms — including scope of services, fees, deliverables, and timelines — are set out in a separate written project agreement signed by both parties prior to the commencement of paid work. In the event of conflict between these Terms and a project agreement, the project agreement prevails for matters specific to that engagement.
Scope of services
We provide architectural design and consulting services. Projects are delivered in four stages: Initial Consultation, Concept and Design, Planning and Documentation, and Construction and Delivery. Specific deliverables at each stage are defined in the applicable project agreement.
Project agreement
Prior to the commencement of any paid work, the parties shall enter into a written project agreement specifying the scope of services, fees, timeline, key deliverables, and the obligations of each party. The project agreement supersedes any prior communications, estimates, or proposals.
Initial consultation
The initial consultation between us and a prospective client is provided without charge and creates no binding obligation on either party. It is used to determine whether the proposed project is suitable for engagement.
Scope changes
If the scope of work changes materially during the engagement, a written addendum to the project agreement shall be issued specifying additional fees, revised timeline, and any other affected terms. We are not obligated to perform additional work outside the agreed scope without such written addendum.
Fees and payment
Fees are set out in the applicable project agreement and may be structured as a fixed amount, hourly rate, or percentage of construction cost, as determined for each engagement.
Payment schedule
Unless otherwise specified in the project agreement, fees are invoiced in installments tied to project milestones. A typical structure is:
30% upon execution of the project agreement.
40% upon completion of the Planning and Documentation stage.
30% upon completion of the Construction and Delivery stage.
Invoices are payable within the period specified on each invoice. Overdue amounts may accrue interest at the rate permitted by applicable law.
Reimbursable expenses
Project-related expenses, including travel to sites, permit and authority fees, third-party consultant fees, and physical model materials, are invoiced separately at cost.
Intellectual property
All intellectual property in the designs, drawings, specifications, and other deliverables we produce remains our property unless explicitly transferred in writing.
Upon full payment of fees, the client is granted a non-exclusive, non-transferable license to use the final deliverables solely for the purpose of constructing, occupying, maintaining, and modifying the specific project for which they were produced.
We reserve the right to document and publish completed projects through photography, written case studies, and inclusion in promotional materials, including our website, journal, and portfolio. Where confidentiality of specific project aspects is required, this shall be agreed in writing within the project agreement.
Use of imagery
Photographs of completed projects may be used in promotional materials, exhibitions, and award submissions. The identity of clients is not disclosed in association with their projects without prior written consent.
Confidentiality
All non-public information disclosed by the client during the course of an engagement, including financial information, personal information, and sensitive aspects of the project brief, shall be treated as confidential.
This obligation extends to all members of our team and to third-party consultants engaged on the project, who are bound by equivalent obligations of confidentiality and professional conduct.
Limitation of liability
We carry professional indemnity insurance appropriate to the scale and complexity of our practice, covering errors and omissions in the design and documentation work we produce.
To the extent permitted by applicable law, our liability is limited to direct and foreseeable damages arising from professional negligence. We are not liable for indirect, consequential, or incidental losses, or for damages arising from work performed by third parties — contractors, consultants, or suppliers — engaged independently by the client.
Construction administration
Where we are engaged for construction administration, our role is limited to monitoring general conformity with the design intent. We are not responsible for construction means and methods, site safety, or the quality of workmanship, which remain the responsibility of the contractor.
Termination
Either party may terminate the project agreement upon thirty (30) days' written notice. Upon termination, the client shall remain liable for all fees and reimbursable expenses incurred up to the date of termination.
Drawings, documents, and other deliverables produced up to the date of termination remain our intellectual property. Upon full payment of outstanding amounts, the deliverables produced shall be released to the client under the license terms described in Section 05.
